These Terms and Conditions (these "Terms") apply to all products and accessories (collectively, "Product(s)") and related Subscription services ("Subscription(s)") that are purchased from Focal Point Security ("Focal Point Security") by any individual or organization (together with any of its representatives, designees or related users, "Customer"). These Terms may be updated by Focal Point Security from time to time in its discretion, by publication to Focal Point Security's website (
https://focalpointsecurity.com"), and/or its mobile application (including all information available through the application, the "Application" and, together with the Website, the "Site"), and will be applicable to any purchase of Products or use of Subscription services after written communication to Customer of the update. These Terms will supersede any inconsistent or contradictory terms or conditions, express or implied, in all requests for quotes, purchase orders, acknowledgments, confirmations or other procurement documents exchanged between Customer and Focal Point Security (collectively, "Procurement Documents"), unless the Procurement Documents make express reference to amendment, modification or deletion of one or more of these Terms.

I. Products and Subscriptions
1. Shipment and Delivery of Products
Unless otherwise agreed in writing between Customer and Focal Point Security, Focal Point Security will select the carrier, the mode of shipment, the packaging, and the extent of any insurance against loss or damage to the Products during shipment. Focal Point Security will cover shipping costs for all cameras. However, Customer will be responsible for any freight shipping charges associated with non-penetrating roof mounts (NPRMs), solar equipment, trailers, and any applicable insurance, customs fees, or duties. Products will be shipped to the address listed on the applicable Procurement Document. Re-routing of shipments may incur additional charges. Title and risk of loss to Products will pass to Customer upon shipment from Focal Point Security, its warehouses, or any contract manufacturer place of business. Focal Point Security will prepare and pack Products for shipment in accordance with its customary practices and Product specifications. If Customer cannot accept delivery within three (3) months of the order date, Focal Point Security reserves the right to cancel the order and issue a refund, unless other arrangements have been made in advance.

2. Damaged Shipment
If equipment arrives damaged, Customer must reject the shipment or report the issue to Focal Point Security within 24 hours of receiving the shipment. The report must include detailed pictures of the damaged goods, along with a description of the damage. Failure to report damages within the specified timeframe may affect any available remedies or recourse. It is crucial to retain all original packaging material and damaged goods, as they may be required for inspection or processing of a damage claim.

3. Installation
Customer is responsible for installation of Products unless otherwise agreed by Focal Point Security. It is Customer's responsibility to install Products in accordance with all applicable laws, codes, rules, regulations, requirements and safety standards, and installation instructions provided by Focal Point Security. Notwithstanding the foregoing, upon request by Customer, Focal Point Security may provide installation assistance, either itself or through a contractor, on mutually agreeable terms. For safety and product reliability, all Focal Point Security equipment must be installed on a safe, stable, and structurally sound surface—such as a building, trailer, pole mount, utility pole, or other appropriate fixed or secured structure. Equipment may not be mounted to trees, unsecured piping or conduit, or any other non-rigid or potentially unstable surface. Mounting equipment to surfaces that are not capable of withstanding environmental factors like wind, vibration, or weight load may compromise the Product's function and void the Limited Product Warranty. Customer is responsible for ensuring that all mounting surfaces are suitable for long-term deployment in construction or outdoor environments, even if temporary in nature. Installations that deviate from Focal Point Security's recommendations or occur without appropriate consultation may result in damage, suboptimal performance, or loss of warranty coverage.

4. Subscription Period
Unless otherwise agreed in writing between Customer and Focal Point Security, Subscription services will be provided on a month-to-month basis (after any prepaid Subscription is used), beginning on the date that the applicable Product is connected to the Site, and continuing thereafter until Customer notifies Focal Point Security of cancellation. If Subscription service is not activated within ninety (90) days from Customer's receipt of Products, Focal Point Security reserves the right to suspend any active cellular device until the equipment is deployed and the Customer may need to contact Focal Point Security to re-activate the cellular device. Customer may terminate Subscriptions by contacting its sales representative or calling 1-833-FOCALPOINT.

5. Service Coverage
Coverage maps provide estimated wireless coverage areas outdoors. Actual service area, coverage and quality may vary without notice, depending on a variety of factors such as network capacity, terrain and weather. Outages and interruptions in service may occur, and speed of service may vary. You agree that Focal Point Security will not be liable for problems relating to service availability or quality.

6. Payment
All price quotes and payment will be in United States Dollars. Focal Point Security reserves the right to terminate service to Customer for non-payment. A fee of 5% of the amount due will be payable on amounts past due for 10 days, and thereafter will accrue interest at the rate of 1.5% per month. All quotes are valid for thirty (30) days unless sooner withdrawn by Focal Point Security prior to Customer acceptance. Customer will be responsible for paying any applicable taxes.

7. Returns
Products purchased, other than custom-built Products, may be returned to Focal Point Security within thirty (30) days of the order date for full refund of the price paid for the Product, exclusive of shipping or other expenses incurred by Focal Point Security. Customer must return the complete, undamaged Product in its original packaging, including all components and the original receipt. Product not returned within such 30-day period will constitute unqualified acceptance of the Product and a waiver of all claims by Customer. Customer will be responsible for shipping and insurance charges for return of Products to Focal Point Security for deactivation, as well as any fees incurred for Subscriptions used prior to return. Responsibility for shipping of Products for repair will be determined in according to Customer's selected Subscription level. Customer agrees to hold Focal Point Security harmless for all loss or damage in connection with the shipment and delivery of returned Products. Custom-built Products may not be returned by Customer unless damaged or non-compliant with specifications set forth in the Procurement Documents.

8. Cancellation of Subscriptions
Subscriptions may be canceled within thirty (30) days of subscription date for a full refund. Otherwise, no refunds will be provided if Customer elects to terminate prior to the end of a Subscription period. Subscription services may be upgraded to a higher tier of service at any time, but may not be downgraded to a lower tier of service until expiration of the Subscription period. Certain features and services that require manual implementation may not be immediately available upon upgrade of Subscription service.
